These Website Terms of Use (“Terms of Use” or “Terms”) describe the conditions governing your access to and use of this website.
The website is operated under the FJDynamics brand by VIRTUX INNOVATIONS PTE. LTD., UEN 202202951N, with its registered office at 101 Thomson Road, #28-03A United Square, Singapore 307591. In these Terms, “FJDynamics,” “we,” “us,” “our,” or the “service provider” refers to VIRTUX INNOVATIONS PTE. LTD. and its affiliates operating the FJDynamics website, products, and services.
These Terms apply to www.agriculture.fjdynamics.com and any other websites operated under the FJDynamics brand that link directly to these Terms (collectively, the “Site”).
By accessing or using the Site, you acknowledge that you have read, understood, and agreed to these Terms. If you do not agree with them, you must not access or use the Site.
1. Applicable Agreements
Your access to or use of certain materials and services available through the Site—including software, platforms, downloads, technical resources, customer cases, support services, and other materials—may also be governed by separate agreements between FJDynamics and you or the legal entity you represent.
These Terms do not replace, amend, or cancel your obligations under any separate agreement with FJDynamics. If there is a conflict between these Terms and a separate written agreement governing a particular product or service, the separate written agreement will prevail with respect to that product or service.
Unless expressly stated otherwise, information displayed on the Site does not constitute a binding offer to sell any product, software, component, or service. Unauthorized access to or use of restricted materials is prohibited.
2. Scope and Acceptance of the Terms
1. These Terms and our Privacy Policy govern your access to and use of the Site and its associated services. Our Privacy Policy is available on the Site and is incorporated into these Terms by reference. Please read both documents carefully.
2. By registering on the Site, submitting information, accessing the Site, or using any part of its services, you confirm that you have read, understood, and agreed to these Terms and the Privacy Policy.
3. If you do not agree with any part of these Terms or the Privacy Policy, you must not register, access, browse, or use the Site or its services.
4. We may revise these Terms when we introduce new services, respond to changes in applicable law, comply with requests from competent authorities, address new risks, or improve the clarity of these Terms. The latest version will be made available on the Site.
5. If you no longer agree to these Terms, you must discontinue your use of the Site and, where applicable, close your account.
3. Use of the Services
1. The Site and its services are intended for users who are at least 16 years old. A person under 16 may only use the Site with the consent and supervision of a parent or legal guardian.
2. By registering, accessing, or using the Site, you confirm that the information you provide—including information relating to your age or parental or guardian consent—is accurate and complete.
3. The Site may contain software, text, graphics, communications, measurements, test results, opinions, photographs, drawings, profiles, messages, notes, website links, music, video, animations, designs, audio, reports, charts, data files, downloadable resources, and other materials owned by or licensed to FJDynamics or its affiliates (collectively, the “Content”).
4. User-generated content, as defined in Section 6, is excluded from this definition unless otherwise stated.
5. The Site, its services, and its Content are protected by applicable intellectual property laws and international treaties. FJDynamics and its licensors retain all legal rights, titles, and interests in the Site, services, and Content, including all associated intellectual property rights, whether registered or unregistered.
6. Certain information available through the Site may be identified as confidential. You must not disclose confidential information without our prior written consent.
7. Subject to your compliance with these Terms, FJDynamics grants you a personal, limited, revocable, royalty-free, non-exclusive, non-transferable, and non-sublicensable licence to access and use the Content for its intended purpose.
8. This licence is provided only to allow you to access the Site, use the applicable services, and receive the intended benefit of FJDynamics products or services in accordance with these Terms and any applicable separate agreement.
9. Unless expressly permitted by law or authorized by us in writing, you must not:
￮ Copy, reproduce, modify, translate, publish, broadcast, perform, display, distribute, or transmit the Site or its Content;
￮ Frame, mirror, republish, download, sell, license, or commercially exploit the Site or its Content;
￮ Create derivative works from the Site or its Content;
￮ Reverse engineer, decompile, disassemble, or otherwise attempt to extract source code from any software made available through the Site;
￮ Use data-mining, robots, scraping tools, or similar automated data-collection methods; or
￮ Remove or alter copyright, trademark, confidentiality, or other proprietary notices.
10. “FJDynamics,” its associated logos, product names, service names, domain names, slogans, designs, and other identifying elements used on the Site are trademarks or other protected assets owned by or legally licensed to FJDynamics (the “FJDynamics Trademarks”).
11. Other names and logos displayed on the Site may belong to their respective owners (“Third-Party Trademarks”).
12. Nothing on the Site or in these Terms grants you any right or licence to use an FJDynamics Trademark or Third-Party Trademark without the prior written consent of the relevant owner.
13. You must not use any trademark in a way that disparages, misrepresents, or causes harm to FJDynamics, its affiliates, its products or services, or any applicable third party.
14. You may not use an FJDynamics Trademark as part of a link to or from another website without our prior written consent. Any goodwill arising from an authorized use of an FJDynamics Trademark will benefit FJDynamics.
15. You agree not to:
￮ Place an unreasonable or disproportionately large load on the Site’s infrastructure;
￮ Interfere or attempt to interfere with the proper functioning or security of the Site;
￮ Circumvent authentication, access-control, or security measures;
￮ Attempt to gain unauthorized access to any account, system, server, or network;
￮ Introduce viruses, malware, destructive code, or other harmful material;
￮ Decipher, decompile, disassemble, or reverse engineer software forming part of the Site;
￮ Remove or alter material posted on the Site by FJDynamics or another authorized party; or
￮ Frame, mirror, or link to restricted materials without authorization.
16. Elements of the Site may be protected by trademark, trade dress, copyright, unfair-competition, and other laws. No part of the Site or its Content may be copied, imitated, framed, mirrored, or retransmitted without our prior written consent, except where expressly permitted by these Terms or applicable law.
17. If you believe in good faith that material available through the Site infringes your copyright or other intellectual property rights, you or your authorized representative may request that the material be removed or access to it restricted.

4. Advertising, Linking, and Framing
The Site and associated software may include information about, advertisements for, or links to websites and services operated by third parties (“Third-Party Sites”). Emails and other communications sent through our services may also contain links to Third-Party Sites.
These links and references are provided for convenience only. Unless expressly stated otherwise, FJDynamics does not operate, control, endorse, or assume responsibility for any Third-Party Site, its availability, its security, its content, or any products, services, or transactions offered through it.
You should review the terms of use and privacy policy of each Third-Party Site before accessing it, providing personal information, or completing a transaction.
Your use of a Third-Party Site is at your own risk and is governed by the third party’s applicable terms and policies.
5. Unsolicited Ideas and Feedback
1. We welcome general comments about FJDynamics, its products, and its services. However, you should not send us confidential, proprietary, or commercially sensitive information unless we have expressly requested it and agreed in writing to receive it confidentially.
2. No confidential relationship is created merely because you submit information through the Site, by email, or through another communication channel.
3. If you voluntarily submit ideas, concepts, suggestions, proposals, designs, improvements, product names, advertising concepts, marketing plans, processes, technologies, or other feedback (“Feedback”), you agree that:
￮ FJDynamics and its designees may use, reproduce, modify, distribute, commercialize, or otherwise exploit the Feedback for any purpose without restriction or compensation;
￮ We are not required to review, adopt, acknowledge, or respond to the Feedback; and
￮ We are not required to treat the Feedback as confidential.
4. By submitting Feedback, you represent and warrant that you created it or otherwise possess all rights required to submit it and grant the permissions described above.
5. You are solely responsible for claims or damages arising from Feedback that infringes intellectual property, confidentiality, privacy, trade-secret, or other rights.
6. Submissions Policy
1. Certain parts of the Site may allow you to submit or publicly post comments, stories, photographs, videos, articles, files, project materials, competition entries, or other content (“User-Generated Content” or “UGC”).
2. By submitting UGC, you grant FJDynamics and its affiliates a worldwide, non-exclusive, royalty-free, transferable, sublicensable, and perpetual licence to host, store, reproduce, modify, adapt, translate, publish, display, distribute, communicate, and otherwise use the UGC for operating, promoting, and improving the Site, FJDynamics products and services, and related marketing activities, subject to applicable law and any specific campaign or submission terms.
3. You also permit other users to access, view, store, and reproduce publicly available UGC for personal and lawful use through the functionality of the Site.
4. If your UGC contains personal information, that information may become publicly available and may be republished as part of the UGC. You should not include personal information that you do not wish to make public.
5. We may, at our discretion and without obligation:
￮ Monitor UGC;
￮ Review, edit, reject, restrict, or remove UGC;
￮ Disclose UGC when required by law or reasonably necessary to protect our rights, users, systems, or the public; or
￮ Suspend or terminate access relating to UGC that violates these Terms.
6. UGC submitted by users does not represent the views or endorsement of FJDynamics. To the extent permitted by law, we disclaim responsibility for user-submitted content.
7. You are responsible for your UGC and for all consequences arising from its publication or use. You agree to comply with all applicable local, national, and international laws and regulations.
8. You must not use the Site to:
￮ Publish another person’s private or personal information without authorization;
￮ Collect, harvest, or disclose personal information without a lawful basis;
￮ Post unlawful, hateful, discriminatory, threatening, defamatory, obscene, abusive, or harassing material;
￮ Infringe intellectual property, privacy, publicity, confidentiality, contractual, or other third-party rights;
￮ Promote or facilitate illegal activity;
￮ Distribute spam, chain letters, unsolicited advertising, surveys, junk mail, or unauthorized solicitations;
￮ Impersonate another person or organization or misrepresent your affiliation with them;
￮ Falsely suggest that FJDynamics endorses your views, products, or services;
￮ Disrupt, damage, overload, or interfere with the Site or its servers;
￮ Introduce malicious code or attempt to bypass security measures;
￮ Reverse engineer software forming part of the Site; or
￮ Delete or alter material posted by another authorized person or entity.
7. Disclaimer of Content and Warranties
1. Product warranties are governed by the limited warranty, after-sales policy, sales agreement, or other documentation applicable to the relevant product. Nothing in these Terms expands or replaces an applicable product warranty.
2. To the fullest extent permitted by applicable law, FJDynamics, its affiliates, and their respective officers, directors, employees, representatives, agents, suppliers, contractors, and licensors (collectively, the “FJDynamics Parties”) make no representation or warranty that:
￮ The Site, its services, or its Content will be uninterrupted, secure, available, or error-free;
￮ Defects or errors will always be corrected;
￮ The Site, servers, downloads, or communications will be free from viruses or harmful components; or
￮ Information provided through the Site will always be accurate, complete, current, suitable, or reliable.
3. The Site, its services, and its Content are provided on an “as is” and “as available” basis. To the fullest extent permitted by law, the FJDynamics Parties disclaim all express, implied, and statutory warranties, including warranties of title, merchantability, satisfactory quality, fitness for a particular purpose, accuracy, and non-infringement.
4. Content available through the Site is provided primarily for general informational purposes. Product specifications, measurements, performance figures, workflows, application examples, technical materials, and other information may vary depending on operating conditions, configuration, software version, environment, region, and other factors.
5. Site Content should not be treated as professional engineering, surveying, construction, legal, safety, or other specialist advice. You are responsible for independently verifying information before relying on it for a commercial, technical, operational, or safety-related decision.
6. Nothing in these Terms excludes any warranty, guarantee, condition, or right that cannot lawfully be excluded under applicable consumer-protection legislation.
8. Limitation of Liability
1. To the fullest extent permitted by applicable law, no FJDynamics Party will be liable for indirect, incidental, special, exemplary, punitive, or consequential damages, including loss of profits, revenue, business, opportunity, goodwill, anticipated savings, or data, arising from or connected with:
￮ Your access to or use of the Site, services, or Content;
￮ Your inability to access or use them;
￮ Your reliance on Site Content;
￮ Unauthorized access to or alteration of your communications or data;
￮ Third-Party Sites or third-party conduct; or
￮ Any interruption, delay, error, omission, or security incident.
2. This limitation applies regardless of whether the claim is based on contract, warranty, tort—including negligence—strict liability, statute, or another legal theory, even if an FJDynamics Party has been advised that such damages may occur.
3. You acknowledge that you access and use the Site, services, and Content at your own risk.
4. To the fullest extent permitted by law, the total combined liability of the FJDynamics Parties arising from or relating to the Site, services, Content, or these Terms will not exceed USD 5.
5. Some jurisdictions do not permit certain exclusions or limitations of liability. Where such rules apply, the exclusions and limitations in these Terms will operate only to the maximum extent permitted by applicable law.
6. Nothing in these Terms limits or excludes liability where doing so would be unlawful, including liability for fraud, fraudulent misrepresentation, or death or personal injury caused by negligence where such liability cannot legally be excluded.
9. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless the FJDynamics Parties from claims, proceedings, losses, liabilities, damages, judgments, penalties, and reasonable legal or accounting costs arising from or related to:
• Your access to or use or misuse of the Site, services, or Content;
• UGC or other material you submit;
• Your breach of these Terms;
• Your violation of applicable law; or
• Your infringement of another person’s intellectual property, privacy, confidentiality, contractual, or other rights.
We will provide reasonable notice of any claim subject to indemnification. We may assume exclusive control of the defence and settlement of the matter, and you agree to provide reasonable cooperation.
You may not settle a claim in a manner that imposes an obligation on, or contains an admission by, an FJDynamics Party without our prior written consent.
10. Termination of the Services
1. These Terms remain effective until terminated by you or FJDynamics.
2. You may terminate your agreement under these Terms by discontinuing your use of the Site, closing any applicable account, and notifying FJDynamics through the following contact details:

4. We may suspend or terminate your access to all or part of the Site or its services if:
￮ You breach these Terms or act in a manner showing that you are unable or unwilling to comply with them;
￮ Suspension or termination is required by law, regulation, court order, or competent authority;
￮ A relationship with a partner through which a service is provided ends;
￮ The relevant service is discontinued in your country or region;
￮ Continuing to provide the service creates a security, legal, operational, or commercial risk; or
￮ We reasonably believe suspension or termination is necessary to protect FJDynamics, its users, its systems, or another party.
5. To the extent permitted by law, we may modify, suspend, withdraw, or discontinue all or part of the Site or a service without liability.
6. UGC displayed outside your account or profile—including material published elsewhere on the Site, in marketing materials, or on social media—may continue to appear after you remove the original submission or close your account, subject to applicable law and any specific submission agreement.
7. Sections 3, 5, 6, 7, 8, 9, 10, 11, 13, 14, and 15 will survive termination to the extent necessary to give them effect.
11. Export Restrictions
You must comply with all applicable domestic and international export-control, sanctions, customs, and trade laws governing software, technical information, downloads, products, or other materials obtained through the Site.
You must not access, export, re-export, transfer, release, or use controlled material in violation of applicable law or without any required government authorization.
12. Modification and Termination
These Terms remain effective until modified or terminated by FJDynamics.
We may update these Terms from time to time. Unless otherwise required by law, an updated version becomes effective when it is published on the Site with a revised effective date.
Where a change materially affects your rights or obligations, we may provide additional notice where reasonably practicable or legally required.
Your continued use of the Site after updated Terms become effective constitutes acceptance of those Terms. If you do not accept an update, you must discontinue your use of the Site and its services.
If these Terms or your access to the Site are terminated, you will no longer be authorized to use any restricted part of the Site. Provisions concerning intellectual property, submissions, warranties, liability, indemnification, export restrictions, governing law, and other provisions intended by their nature to survive will remain effective.
13. Language
The English-language version of these Terms is the legally controlling version.
Any translation is provided solely for convenience and information. If there is any inconsistency or difference in interpretation between the English version and a translated version, the English version will prevail to the extent permitted by applicable law.
14. Governing Law
These Terms are governed by and construed in accordance with the laws of Singapore, without giving effect to its conflict-of-law principles.
Mandatory rights available to you under the laws of your country or region of residence remain unaffected where those rights cannot lawfully be excluded.
15. Severability
If any provision of these Terms is found to be unlawful, invalid, void, or unenforceable, that provision will be enforced to the maximum extent permitted by law or treated as severed from these Terms.
The remaining provisions will continue in full force and effect.
